General Terms and Conditions of Hellma Materials GmbH
- General information
- For all deliveries resulting from our written order acceptances, only our General Terms and Conditions shall apply. Deviating delivery and purchasing conditions of our customers require our written acknowledgement.
- The content of our order confirmations or other letters of confirmation shall be deemed to have been approved by the customer if we do not receive a written objection to the confirmation within one week of dispatch (date of postmark, fax date or e-mail receipt).
- We reserve all industrial property rights and copyrights for the products, designs, moulds, samples, services, illustrations and other documents provided by us.
- The prices stated in our catalogues, brochures and price lists are subject to change and non-binding.
- Our offers are subject to change with regard to price, quantity, delivery time and delivery options.
- If an offer expressly refers to possible additional pieces, these must be accepted by the customer after production at the offer price.
- The latest version of the Incoterms shall apply to our terms of delivery.
- We are also authorised to conclude orders with reduced quantities.
- If we agree to a return of properly delivered goods, we will charge 7 % administration costs.
- Customised items cannot be returned by us for exchange or credit.
- Terms of payment
- Prices are ex works, Incoterms in the latest version, excluding VAT, excluding packaging, in euros (EUR).
- Unless otherwise agreed, our claims are due for payment without deduction within 30 days of the invoice date.
- Bills of exchange and cheques shall only be accepted subject to the express reservation that they are cashable. The acceptance of bills of exchange requires special prior agreement.
- In the event of late payment, we are entitled to charge at least the usual default interest of our house bank.
- All customers who are not in an ongoing business relationship with us will be supplied by prepayment or cash on delivery.
- Delivery, packaging, dispatch
- All deliveries are made at the risk and expense of the buyer. We only cover through insurance if this is expressly requested and its cover value is stated. In cases of doubt, we reserve the right to take out insurance for larger value consignments at the buyer’s expense.
- Packaging and transport costs shall be borne by the customer.
- Cases of force majeure, strikes, lock-outs, business interruptions, breakdowns, shortages of raw materials and supplies and non-delivery by our suppliers for which we are not responsible shall extend the delivery period and release us from the obligation to deliver if delivery becomes impossible as a result.
- If, after we are already in default, the customer sets us a reasonable grace period with a threat of refusal, the customer shall be entitled to withdraw from the contract if this grace period expires without result. Claims for damages shall be determined exclusively in accordance with Section 7.
- Products provided
- Provided products must be provided by the customer with an inspection certificate. In this certificate, the customer confirms that the product provided corresponds to the agreements with regard to material type, dimensions, tolerances and other specifications.
- The incoming goods inspection at Hellma Materials can only be carried out within the scope of the measuring and testing equipment available to us and does not release the customer from his test certificate.
- Warranty claims are excluded if and insofar as the defect is attributable to a fault in the product provided.
- Provided products are handled and stored at our discretion, unless special customer instructions prescribe a different treatment.
- No warranty is given for damage to or loss of products provided.
- Obligation to inspect and give notice of defects
- Complaints due to incomplete or incorrect delivery or recognisable defects must be submitted to us in writing immediately, at the latest 8 days after receipt. In the event of transport damage, the corresponding statement of facts from the carrier must be submitted within the same period. Other defects must be notified to us in writing no later than 8 days after discovery.
- In the event of late notification, the goods shall be deemed to have been approved and subsequent delivery and warranty claims shall be excluded. In the event of timely notification, the rights of the customer shall be determined exclusively in accordance with Section 6, Warranty, of these GTC.
- Guarantee
- All those parts which prove to be unusable or significantly impaired in their usability within the warranty period as a result of a circumstance prior to the transfer of risk – in particular due to faulty construction, poor material or defective workmanship – shall be repaired or replaced free of charge at our discretion (subsequent fulfilment). The discovery of such defects must be reported to us immediately in writing. Replaced parts shall become our property.
- The customer must give us the necessary time and opportunity to carry out all repairs and replacement deliveries; otherwise we shall be released from liability for the resulting consequences.
- Of the costs arising from the subsequent fulfilment, we shall bear the costs of the rectification or the new delivery, insofar as the complaint proves to be justified. We shall also bear the costs of despatch and removal and installation to a reasonable extent and, if this can be reasonably demanded in the individual case, the costs of providing our fitters and assistants. Our obligation to bear these follow-up costs in addition to the actual subsequent fulfilment is limited in amount to the commercial value of a new delivery of the defective part according to our generally applicable price list.
- Within the framework of the statutory provisions, the customer has the right to withdraw from the contract or to reduce the price if we – taking into account the statutory exceptions – allow a reasonable deadline set for us for the repair or replacement delivery due to a material defect to elapse without success. If there is only an insignificant defect, the customer shall only be entitled to a reduction of the contract price.
- No warranty is accepted in the event of unsuitable or improper use, incorrect assembly or commissioning by the customer or third parties, natural wear and tear, incorrect or negligent handling, transport damage, improper maintenance, unsuitable operating materials, use with materials or media not intended for use – unless the supplier is responsible for them.
Unauthorised modifications and repairs to the delivery item by the customer or by third parties which have not been expressly approved by us in writing shall invalidate all warranty claims.
Advice and information of any kind shall be provided without contractual obligation and free of charge, to the best of our knowledge, but to the exclusion of any warranty and liability.
- Liability
The suitability of our products for specific customer applications must often be determined individually with regard to temperature, pressure and media resistance. Conditions unknown to us or deviating from the customer’s specifications may restrict the possible uses of our products, for which we cannot accept any liability. The customer is responsible for ensuring that the intended uses can be determined individually on the basis of his accurate and exhaustive information. The supplier shall only be liable for damage that has not occurred to the delivery item itself – for whatever legal reasons
- Statute of limitations
In the event of culpable breach of material contractual obligations, the Supplier shall also be liable for gross negligence on the part of non-executive employees and for slight negligence, in the latter case limited to reasonably foreseeable damage typical of the contract. Further claims are excluded.
- Retention of title
- The delivered goods shall remain our property until they have been paid for in full. Bills of exchange and cheques shall only be deemed as payment of our claim upon encashment.
- The customer may sell the delivered goods in the ordinary course of business if he has not previously assigned his claims from the sale to third parties or these claims are otherwise encumbered. If the delivered goods are sold by the customer, alone or together with goods not belonging to us, the customer hereby assigns to us the claims arising from the resale in the amount of the value of the delivered goods with all ancillary rights and priority over the rest; we accept the assignment.
- The customer may only combine the delivered goods with other items or process them into other items if the other items are not encumbered with third-party rights.
- If the delivered goods are combined with another item or processed to form a new item, we shall become co-owner of this newly formed item in proportion to the purchase price of our delivered goods.
- Fulfilment, place of jurisdiction
The contract shall be deemed to have been fulfilled when the delivery leaves our premises. German law shall apply exclusively to all legal claims arising from the purchase contract. The place of jurisdiction for both parties is Jena, also for actions on cheques and bills of exchange.
